Terms of Service

These Terms of Service govern your access to and use of Ledge, including its websites, applications, league-management tools, registration functionality, scheduling tools, communications features, payment-related functionality, and other services.

Ledge is operated by Lachlan Forgan. By creating an account, accessing the service, or using Ledge on behalf of an organization or league, you agree to these Terms. If you are using Ledge on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, you should not access or use Ledge.

1. Eligibility and Authority

League organizer and administrator accounts are limited to individuals who are at least 18 years old. If you create or operate an organizer or administrator account, you represent that you meet this requirement and are legally capable of entering into an agreement governing your use of the service.

Player accounts may be available to individuals age 13 or older. If a player is under 18, use of a player account must be authorized by that player's parent or legal guardian. Individuals under 13 may not independently create or access a Ledge account. A parent, guardian, league organizer, or other authorized adult may create or manage league and player information relating to a participant under 13.

If you use Ledge for a league, organization, business, club, or other entity, you represent that you have authority to act on behalf of that organization and to provide information and instructions to Ledge relating to its account.

2. Accounts and Account Security

Certain Ledge features require an account. You agree to provide accurate information, maintain the accuracy of your account information, and take reasonable measures to protect your credentials and account access.

You are responsible for activity performed through your account and for access you grant to administrators, staff members, or other users associated with your league or organization.

You must promptly notify Ledge if you become aware of unauthorized access to your account or another suspected security issue.

3. League Organizer Responsibilities

League organizers control many aspects of how their leagues use Ledge. Organizers are responsible for the league information, registration requirements, communications, schedules, rosters, rules, payment settings, and other content or instructions they create or configure through the service.

Organizers are responsible for determining whether they are permitted to collect, upload, use, communicate, or otherwise process information concerning players, registrants, staff members, volunteers, parents, guardians, or other individuals.

  • Maintaining accurate league, registration, roster, schedule, and contact information.
  • Providing appropriate information, notices, rules, waivers, disclosures, or other materials to league participants where necessary.
  • Obtaining any permissions or authorizations needed for information submitted to Ledge.
  • Managing league communications and ensuring that messages sent using Ledge are lawful, appropriate, and relevant.
  • Responding to participants concerning league-specific policies, registrations, schedules, refunds, disputes, eligibility, or other organizer-controlled matters.
  • Complying with laws, regulations, association rules, facility requirements, and other obligations applicable to the organizer's activities.

4. User and League Content

You retain ownership of content and information that you submit to Ledge to the extent you hold rights in that content.

You grant Ledge a non-exclusive license to host, store, reproduce, process, transmit, display, and otherwise use submitted content as reasonably necessary to operate, maintain, secure, support, and provide the service.

You represent that you have the rights and permissions necessary to submit content to Ledge and to authorize Ledge to process that content as contemplated by these Terms.

5. Acceptable Use

You may not misuse Ledge or use the service in a way that interferes with its operation, infringes the rights of others, or violates applicable law.

  • Do not use Ledge for unlawful, fraudulent, deceptive, abusive, threatening, or malicious activity.
  • Do not attempt to gain unauthorized access to Ledge, another user's account, or systems or networks connected to the service.
  • Do not probe, scan, exploit, disable, circumvent, or interfere with security or access-control mechanisms.
  • Do not knowingly upload malware, malicious code, or content intended to damage or disrupt systems.
  • Do not use automated means to scrape, extract, overload, or access the service except where expressly authorized by Ledge.
  • Do not impersonate another person or organization or materially misrepresent your affiliation or authority.
  • Do not use Ledge to send unlawful spam or communications for which you do not have appropriate authority.
  • Do not submit content that infringes intellectual-property, privacy, publicity, or other rights of third parties.

6. Payments and Stripe

Ledge may allow organizers to collect or facilitate payments associated with registrations or other league activities. Card-payment processing is provided through Stripe.

Stripe may collect and process payment credentials directly. Ledge may receive payment-related information such as payment status, transaction identifiers, amounts, and related account or registration records. Ledge does not claim to store full payment-card numbers.

Your use of payment functionality may also be subject to Stripe's applicable terms and policies.

League organizers are responsible for establishing and communicating their own registration, cancellation, and refund policies to participants.

Ledge provides payment technology but is not responsible for an organizer's decision to issue or deny a participant refund.

7. Subscriptions, Fees, and Trials

Certain Ledge functionality may require a paid subscription or other fees. Pricing, billing frequency, included features, and any applicable usage limits will be presented through the service or otherwise communicated before purchase.

Ledge may offer free trials or promotional access from time to time. Any specific conditions will be disclosed when the trial or promotion is offered.

Cancellation stops future renewals but does not immediately terminate access during the already-paid billing period.

Subscription payments are generally non-refundable once charged, except where required by law. Users may cancel at any time to prevent future renewal.

Fees do not include applicable taxes unless stated otherwise. Users are responsible for applicable taxes associated with their purchase except taxes imposed on Ledge's income.

8. Intellectual Property

Except for content submitted by users or otherwise identified as belonging to third parties, Ledge and its licensors retain all rights, title, and interest in the service, including its software, design, interfaces, branding, documentation, features, and related intellectual property.

Subject to these Terms and any applicable subscription terms, Ledge grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for its intended purpose.

These Terms do not transfer ownership of Ledge's software or intellectual property to you.

9. Feedback

If you voluntarily provide ideas, suggestions, feature requests, or other feedback regarding Ledge, you authorize Ledge to use that feedback without restriction or obligation to you, provided that this does not give Ledge ownership of information or content unrelated to the feedback itself.

10. Third-Party Services

Ledge relies on third-party services to provide portions of its functionality. These may include Supabase for authentication and data storage, Vercel for hosting, Resend for transactional email, Stripe for payment processing, Cloudflare Turnstile for protection of public forms, PostHog for optional analytics after visitor consent, Google for optional sign-in, and OpenAI for optional AI functionality.

Third-party services are operated independently from Ledge and may be governed by their own terms, privacy policies, availability commitments, and technical limitations.

Ledge is not responsible for third-party products or services except to the extent responsibility cannot lawfully be excluded.

11. Optional AI Features

Ledge may offer optional AI-powered functionality. When an administrator uses these features, administrator prompts and relevant league information may be transmitted to OpenAI to generate requested outputs.

AI-generated outputs may be incomplete, inaccurate, outdated, inappropriate, or otherwise unsuitable for a particular purpose. You are responsible for reviewing AI-generated content before relying on it, publishing it, communicating it to league participants, or using it to make decisions.

You should not use AI-generated output as a substitute for professional, legal, medical, financial, safety, or other expert advice.

12. Service Availability and Changes

Ledge may modify, update, add, remove, suspend, or discontinue features as the service develops. Ledge does not guarantee that every feature will remain available indefinitely or operate without interruption.

Ledge does not currently provide a contractual service-level or uptime guarantee unless separately agreed in writing.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEDGE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LEDGE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY BE DISCLAIMED UNDER APPLICABLE LAW.

LEDGE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM LOSS OF DATA, OR THAT INFORMATION, SCHEDULES, COMMUNICATIONS, PAYMENT INFORMATION, AI-GENERATED CONTENT, OR OTHER OUTPUTS PROVIDED THROUGH THE SERVICE WILL ALWAYS BE ACCURATE OR COMPLETE.

Some jurisdictions may not permit certain warranty disclaimers. The extent to which these disclaimers apply is therefore subject to applicable law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEDGE AND ITS OWNERS, PERSONNEL, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL ARISING OUT OF OR RELATING TO THE SERVICE.

Ledge's aggregate liability arising out of the service will not exceed the amounts paid by the user to Ledge during the twelve months preceding the event giving rise to the claim.

15. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Ledge and its owners, personnel, affiliates, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from or relating to your misuse of the service, your league content, your violation of these Terms, your violation of applicable law, or your infringement of another person's rights.

16. Suspension and Termination

You may stop using Ledge at any time, subject to any applicable subscription, billing, or cancellation terms.

Ledge may suspend or restrict access to the service when reasonably necessary to address security threats, suspected fraud, unlawful activity, violations of these Terms, nonpayment, risk to other users or the service, or other material misuse.

Users are responsible for exporting information they wish to retain before account termination. Ledge may provide data-export functionality where available.

Provisions that by their nature should survive termination, including provisions concerning ownership, disclaimers, liability, and indemnification, may continue to apply after your use of the service ends.

17. Changes to These Terms

Ledge may update these Terms as the service, business, or applicable requirements change. When changes are made, Ledge may revise the effective date above.

For material changes, we may provide notice by email, through the service, or by another reasonable method. Continued use after updated Terms become effective constitutes acceptance where permitted by applicable law.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Massachusetts, without regard to its conflict-of-laws principles.

19. General Terms

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by applicable law.

Our failure to enforce any provision of these Terms will not be considered a waiver of our right to enforce that provision or any other provision in the future.

You may not assign or transfer your rights or obligations under these Terms without Ledge's prior written consent. Ledge may assign these Terms in connection with a merger, acquisition, sale of assets, reorganization, or transfer of the business.

Ledge will not be responsible for delays or failures caused by events beyond its reasonable control, including failures of third-party infrastructure, internet or telecommunications outages, natural disasters, governmental actions, or similar events.

These Terms, together with any policies or additional terms expressly incorporated into them, constitute the entire agreement between you and Ledge concerning your use of the service and supersede prior agreements or communications concerning that use.
